Thesis

The Business

Kogan.com operates two businesses under one roof. The core Kogan.com division sells own-brand electronics and household goods alongside a growing marketplace and loyalty program (FIRST), and generated $425m of revenue in FY26. Mighty Ape, the New Zealand games and entertainment retailer acquired in 2020, has shrunk from $122m to $86m in revenue as the company deliberately cut low-margin volume. The defining feature is the mix shift within Kogan.com itself: less warehouse-and-freight retailing, more subscription and marketplace commission, which carries structurally higher margins and needs almost no capital to grow.

Recent Performance

Kogan.com core revenue grew 16% in FY26, an acceleration from prior years, while Mighty Ape's deliberate contraction dragged group revenue growth to just 4.6%. July trading data showed core growth extending to 12.8%, with group gross sales up 9%. The group EBITDA margin (earnings before interest, tax, depreciation and amortisation, as a percentage of revenue) improved from 7.5% to 8.2% over FY25 to FY26, a new multi-year high, even as the market kept the stock at a discount multiple.

Outlook

We expect group revenue to keep growing at a mid-to-high single digit compound rate over the next three years, with the EBITDA margin expanding further as platform gross profit mix continues to rise. Earnings should grow faster than revenue as flat headcount costs, aided by AI-driven efficiency in customer service and purchasing, let that revenue growth flow through to the bottom line. The main swing factor is whether that margin expansion continues past FY28 or plateaus as competition intensifies.

Key Risks

Amazon's expanding Australian logistics and Prime membership could erode the FIRST loyalty program and compress margins over time, since faster delivery and a cheaper or broader Prime offering both work against Kogan.com's current advantages. A stall in platform mix, if marketplace seller growth or loyalty subscriber additions slow, would cap the margin expansion the current thesis depends on and is the most directly observable of the three risks given quarterly disclosure of the mix figure. Soft consumer spending under current interest rate settings threatens the 60% of revenue still tied to physical product sales, and would also pressure Mighty Ape's already fragile path to breakeven.

Company Description

Kogan.com runs two segments. The namesake Kogan.com division (roughly 83% of group revenue) sells own-brand electronics, appliances and household goods online, supplemented by a third-party marketplace, an advertising platform, and the FIRST loyalty subscription, which alone generated $57m of revenue in FY26. Mighty Ape (the remaining 17%) is a New Zealand online retailer of games, toys and entertainment products, acquired in 2020 and now being deliberately downsized after failing to deliver the growth originally underwritten. The group carries no debt and holds net cash, funding growth from operating cash flow rather than external capital.

Where the Growth Is

Platform-based sales, spanning marketplace commissions, loyalty subscriptions and advertising, now generate 61% of group gross profit and are growing roughly 2 percentage points a year as a share of the mix. Each 2-point shift lifts the group EBITDA margin by around 40 basis points, because platform revenue carries close to 51% EBITDA margins against negative margins on product sales. If the mix reaches 70% of gross profit within the next two to three years, that would represent a material structural improvement in the earnings quality of the group as a whole.

Competitive Position

Kogan.com's advantage rests on the FIRST and PRIMATE loyalty programs, which lock in repeat customers ahead of Amazon Prime's continued build-out in Australia, and on exclusive brand sourcing that carries a 21% gross margin against roughly 15% on third-party product. Both advantages are real but not permanent: we estimate the competitive window at three to five years before Amazon's scale advantage in logistics and membership erodes the gap. The trajectory is currently widening, evidenced by three consecutive years of rising platform mix, but this is a moat that requires continuous reinvestment in loyalty and sourcing relationships rather than one built on structural barriers to entry.

Management & Capital Discipline

Founder and CEO Ruslan Kogan has run the business for two decades and retains a meaningful ownership stake, which aligns his incentives with shareholders. Capital allocation has been mixed: roughly $20m a year in buybacks at an average price of $3.37 have been accretive, but the Mighty Ape acquisition at close to ten times revenue destroyed value over five years and remains only marginally profitable. The honest read is that capital discipline has improved post-Mighty Ape, but the acquisition itself was a clear misstep that management has been slow to address through outright divestiture.

Financial Position

The balance sheet is net cash with no drawn debt, comfortably funding the roughly $4-5m a year of capital expenditure the business requires. Free cash flow conversion is high given the capital-light model, and the company returns most of it to shareholders through dividends and buybacks. Equity capital is thin relative to market value, which raises sensitivity to any sustained earnings shock, but liquidity is sufficient to weather a meaningful downturn in consumer spending without financial distress.
